GRAVITY Challenge – Participant Terms and Conditions

The GRAVITY Challenge is a virtual challenge initiated by Deloitte Services Pty Ltd 61 649 157 201 (Deloitte Australia) that invites an audience of start-ups, scale-ups, entrepreneurs and university students to design and build solutions to real, industrial, social and environmental problems by leveraging Data and Technology Providers space capabilities. Organisations from various industry sectors will pose challenges to participants to solve using space data.

The GRAVITY Challenge is supported by various parties (Supporters) as set out on https://gravitychallenge.space/ (Website). These Supporters include:

  • Challenge Providers – organisations that provide problem statements for participants to solve;

  • Data & Technology Providers – organisations that provide data sets and other materials for participants to use throughout the GRAVITY Challenge;

  • Sponsors – organisations with an interest in the GRAVITY Challenge that provide sponsorship funding or in-kind support; and

  • Deloitte Firms – for example, members of Deloitte Touche Tohmatsu Limited, a UK company limited by guarantee or their related entities that will assist with the administration of the GRAVITY Challenge in the various jurisdictions in which it is conducted, including Deloitte Australia.

The GRAVITY Challenge seeks to connect participants with Supporters to further innovate. Participants will have the opportunity to interact with the Supporters (as applicable) to develop offerings to market, establish deeper working relationships with industry, and further develop those relationships following the conclusion of the GRAVITY Challenge.

These Participant Terms and Conditions, together with the Schedules (Terms) govern your participation in the GRAVITY Challenge. You acknowledge and agree to these Terms by accessing the GRAVITY Challenge website portal for participants (Challenge Platform) or such other methods communicated by Deloitte Australia to you. PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS THE CHALLENGE PLATFORM OR PARTICIPATE IN THE GRAVITY CHALLENGE.

GENERAL TERMS AND CONDITIONS FOR GRAVITY CHALLENGE 06

1.    Participation and Eligibility

  • The GRAVITY Challenge runs during the Challenge Period (as set out in Schedule 2).

  • This agreement will commence when you agree to these Terms, and shall continue until the end of the Challenge Period.

  • You must be over 18 years of age to participate. Deloitte Australia may seek to verify your age during your participation in the GRAVITY Challenge.

  • The GRAVITY Challenge is open to teams comprising of three (3) or more individuals residing in either Australia, Austria, Canada, Czech Republic, France, Germany, Hungary, India, Japan, Luxembourg, Poland, Romania, United Kingdom or United States (Team). Deloitte Australia recommends a Team size comprising of three (3) to five (5) people, with at least one member (preferably the Team Representative as defined below) residing in one of the aforementioned participating countries. You are not permitted to participate in the GRAVITY Challenge on an individual basis.

  • Employees of any Supporter are not eligible to participate.

  • To enter, one team participant will act as the team representative (Team Representative) and will submit your Application via the Website. As part of the Application, the Team Representative will need to form and identify other members in the Team , and the selected name for your Team.   

  • Applications to participate in the GRAVITY Challenge will close on the Application Closing Date.

  • Your eligibility may affect the eligibility of your Team. It is your responsibility to ensure that you are eligible to enter the GRAVITY Challenge.

  • You acknowledge that any trophy, accolades or other feedback from Supporters does not constitute an endorsement, offer or commitment to enter into a further contractual relationship between you and Supporters (as applicable).  Your participation in the GRAVITY Challenge is not intended to create with any Supporters an employment, joint venture or agency relationship.

2.    Use of Material

  • Deloitte and Third Party Material:

    • By participating in the GRAVITY Challenge, you will get access to a range of content and material including proprietary datasets, webinars and guidance materials.

    • Any content and materials (including logos, company names, trademarks, images, data, material, systems, websites, confidential information) may be provided to you by:

      • Deloitte Firms (Deloitte Materials) are owned or otherwise licensed by Deloitte Firms or its affiliates as applicable; or

      • Challenge Providers, Data & Technology Providers, Sponsors or other third parties (Third Party Materials) are owned or otherwise licensed by such third party or its affiliates as applicable, (collectively the Materials).

    • For the avoidance of doubt, the ownership of any material or content made available through the Challenge Platform will remain with the party who originally provides such material and content.

    • Nothing in these Terms affects the existing intellectual property rights to Materials.

    • You acknowledge the Third Party Materials may be governed by separate terms and conditions provided by the Supporter or other third parties (Third Party Terms). Deloitte Firms are not a party to the Third Party Terms. It is your responsibility to ensure that you comply with such Third Party Terms at all times when using Supporter Content.

    • Unless expressly notified to you in writing by Deloitte Firms or the third party (where applicable) during the GRAVITY Challenge, you acknowledge and agree that such Materials may only be used for the GRAVITY Challenge in accordance with these Terms or third party terms (as applicable).

    • Deloitte Australia grants you a limited, non-exclusive, non-sublicensable licence to use the Deloitte Materials in connection with your Submission or Final Submission in accordance with the terms of these Terms. Other Deloitte Firms may also include license terms relating to their Deloitte Materials.

    • Notwithstanding any other clause in these Terms to the contrary, you must cease using and delete any Materials after the conclusion of the GRAVITY Challenge unless you obtain separate agreements with Deloitte Firms or the applicable third party.

  • Your Content

    • As a result of your participation in the GRAVITY Challenge, you may develop documents, images, videos, presentation and other related materials that forms a part of your Team’s Submission or Final Submission (Your Content). Subject to clause 2(a) above, as between you and the relevant Deloitte Firms, you own all intellectual property rights in Your Content.

  • License:

    • You warrant that Your Content is your own and you grant Deloitte Firms a perpetual, non-exclusive, irrevocable, sub-licensable, worldwide, royalty free licence to use, distribute, reproduce, modify, adapt, publish, display and otherwise communicate to the public for marketing and promotional purposes in connection with the GRAVITY Challenge including but not limited to sharing Your Content with the Judging Panel for review and assessment, and for  Deloitte Firms’ internal purposes.

    • If Your Content includes any Third Party Material you warrant that you have the appropriate licence and permission to include such Third Party Material as part of your Submission and Final Submission and notify Deloitte Australia of such use. You acknowledge that your use and inclusion of any Third Party Material will be at your own risk.

  • Open Source:

    • You may also access and use open source materials to adapt, develop, use or otherwise include in your Team’s Submission and Final Submission. You must comply with any terms of use associated with such open source materials and must ensure that open source components are clearly identified and attributed if incorporated within your Team’s Submission and Final Submission.

 

3.    Privacy

  • Deloitte Firms will collect personal information and data about you and your participation and use it for the purposes of communicating with you and facilitating your participation in the GRAVITY Challenge as further set out in the GRAVITY Challenge Privacy Statement available at: https://gravitychallenge.space/privacy-statement. This includes sharing your information with third parties including the Supporters and our suppliers and publishing your name via various channels including online on our website or on social media pages. You may elect not to provide some of the requested information. Where you do so, it may limit your GRAVITY Challenge experience.

  • Where there is any conflict or inconsistency between these Terms and the Privacy Statement, the Privacy Statement will prevail to the extent of the conflict or inconsistency.

  • During the GRAVITY Challenge you may receive, or have access to, the personal information of other participants. You must only use such information for the purposes of your participation in the GRAVITY Challenge unless you have the express consent of the individual to use that information for other purposes.

4.    Feedback

  • The parties acknowledge that Deloitte Firms may from time to time provide you and the Team with ideas, comments, suggestions, or other feedback specifically related to the Team’s involvement in GRAVITY Challenge (collectively, Feedback).  The parties agree and acknowledge that any Feedback is provided voluntarily by Deloitte Firms.  You and your Team may use or dismiss the Feedback at its discretion and Deloitte Firms will not be responsible and disclaims all liability if you or your Team relies on Deloitte Firms’ Feedback.

5. Photo and Media Consent

  • Deloitte Firms will be filming, recording and taking photos of your participation in the GRAVITY Challenge solely for purposes of marketing and promoting the GRAVITY Challenge which may be considered personal information. By accepting these Terms you agree to Deloitte Firms having the right to use and exploit for publicity, marketing and promotional purposes any interviews, photographs, pictures, portraits and/or videos (whether in writing, physical, digital, video, film or any other form) and any associated sound recording that depict your likeness, whether alone or with third parties (Materials), without restriction as to the alteration or approval of the Materials. Deloitte Firms will own the copyright in such Materials and is permitted at its sole discretion to use your name in connection with the foregoing. You waive any right to royalties or other compensation arising from or related to Deloitte Firm’s use of the Materials. You consent to the collection and/or use of any Materials by Deloitte Firms. You understand and agree that use of the Materials on the internet may result in the use and availability of such Materials in countries which may not provide the same level of data protection as your country of domicile. You understand that Deloitte Firms will have no control over the Materials once it has been released on the internet. You hereby release and discharge Deloitte Firms from any and all claims and demands that may have arise out of or in connection with the use of the Materials and your name as specified above, including without limitation, any and all claims for libel, invasion of privacy, violation of my right of publicity, or infringement of my intellectual property or any other proprietary rights, except where caused by the fraudulent or wilful misconduct of a Deloitte Firm.  

 

6.    Indemnity

  • To the fullest extent permitted by law, you indemnify Deloitte Australia, and its directors, officers and employees (Indemnified Parties) from and against all losses, damages, liabilities, cost, and expenses including reasonable legal costs, arising directly or indirectly from or in connection with:

    • any negligence or unlawful act or omissions by you during the GRAVITY Challenge;

    • any violation or claimed violation of third party’s intellectual property rights resulting in whole or in part from your use of Your Content or any Material under these Terms, except where directly caused by the fraudulent or wilful misconduct of the Indemnified Parties.

  • Neither party will be liable for any loss, damage, costs or expenses, whether indirect, incidental, special or consequential including loss of profits, goodwill or business opportunity, arising out of or in connection with this Agreement.

  • Deloitte Australia shall not be responsible for any claims, actions or liabilities arising out of the actions or omissions of any other Supporters. Each Supporter is a separate and independent legal entity and is solely responsible for its own actions and obligations. This disclaimer extends to any third parties who may be affected by the actions of another Supporter.

 

7.    Warranties and Exclusions

  • Deloitte Australia makes no representations, warranties or guarantees, express or implied, about the completeness, accuracy, reliability, suitability or availability of any information, images or material presented on its Website, Challenge Platform, or Materials distributed in connection with the GRAVITY Challenge for any particular purpose. Such content and Materials are provided to you ‘as-is’. To the fullest extent permitted by law, Deloitte Australia expressly excludes any liability incurred in connection with your reliance on such information, images or material.

  • Deloitte Australia is not responsible or liable for late, lost, incomplete, incorrectly submitted, corrupted or misdirected submissions; or liable for any delay or failure to perform its obligations under these Terms where such delay or failure is caused by a circumstance beyond its reasonable control.

 

8.    General

  • All times listed in these Terms are Australian Central Standard Time (ACST) or Australian Eastern Standard Time (AEST) where stated.

  • There is no cost for submitting your participation form, accessing the Deloitte Materials or making a Submission or Final Submission to the GRAVITY Challenge. You are responsible for all costs (e.g. travel, food, drinks, travel, accommodation internet expenses or other development costs) associated with your participation in the GRAVITY Challenge. Deloitte Australia will not reimburse you for any expenses you incur in connection with the GRAVITY Challenge.

  • Deloitte Australia may in its sole discretion amend or discontinue any and all part of these Terms or the GRAVITY Challenge, and to terminate your participation, where Deloitte Australia reasonably identifies any circumstances in connection with the GRAVITY Challenge that requires it to do so, including but not limited to circumstances that may give rise to a breach of Deloitte Australia’s independence requirement or cause a conflict of interest. Deloitte Australia will notify you of any change to these Terms or the GRAVITY Challenge.

  • If any part of these Terms are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, then such term will to the extent that is unenforceable, be severed from the remaining terms and conditions which will continue to be valid and enforceable to the fullest extent permitted by law.

  • These Terms are governed by the laws of South Australia. Each party submits to the non-exclusive jurisdiction of the courts in South Australia, Australia.


Schedule 1 – Challenge Outline

1.       Challenge Topics and Access

  • Deloitte Firms will connect your Team with Challenge Supporters who will provide details of the challenges (Challenge(s)).

  • Deloitte Firms will provide your Team with access to GRAVITY Challenge materials and resources (included as Deloitte Materials).

  • Challenge Providers will select Teams to partner with for the GRAVITY Challenge.

 

2.    Attendance and Interactions

  • A briefing video can be found on the GRAVITY Challenge Website https://gravitychallenge.space/ which outlines the key Challenge activities. Additional briefing sessions and learning webinars will be held online within the Challenge Platform. If you are unable to attend a briefing, you will be able to download the briefing video after the event through the Challenge Platform.

  • From time to time you may be required to attend briefings, communications, or other events set out on the Challenge Platform. If you or your Team are unable to attend, please refer to the Challenge Platform for alternative attendance channels. Deloitte Firms strongly recommend at least one member of your Team be present at the or otherwise review the recorded content in the Challenge Platform.

  • You may also be offered meetings or have other interactions with Challenge Supporters subject to their availability and arrangement with your Team. Your Team Representative is responsible for co-ordinating with the Challenge Supporters via the channels advised to you on the Challenge Platform.

  • Deloitte Australia reserves the right to change timing of any scheduled events at short notice. Where such changes occur, Deloitte Australia will notify you via the email address provided in your Registration.

  • Throughout the GRAVITY Challenge, your Team Representative must be available for contact at reasonable times by Deloitte Firms or Challenge Supporter.

  • Where you are participating in any event or briefing for the GRAVITY Challenge, please be respectful of your environment and mindful of your conduct towards others.

3.    Presentation and Submission

  • Your focus during the GRAVITY Challenge will be to propose a solution to a Challenge posed by a Challenge Provider. Full details of submission requirements will be set out in the Challenge Platform, but generally the process for submitting your solution will be:

    • By the Stage 1 Submission Deadline you must submit a two (2) to three (3) minute video pitch plus your Technology Business Case document (Submission) through the Challenge Platform (as described in the Challenge Platform). Submissions received after the Stage 1 Submission Deadline will not be considered;

    • Your Submissions will be reviewed by the Judging Panel (defined below) who will provide feedback and determine whether your Team is eligible to proceed to Stage 2.

    • Teams eligible for Stage 2 must then upload a proposal, and present a five (5) to ten (10) minute final pitch to their Challenge Provider by Stage 2 Final Submission Deadline (Final Submission).

    • The Judging Panel will assess the Submissions and Final Submissions of all Teams in accordance with the Judging Criteria and select a successful team to progress through to the Scale Phase GRAVITY Challenge. The Scale Phase is where Teams and Challenge Providers will continue commercial conversations to lead to the launch of either a proof of concept, prototype, minimum viable product or a pilot.

  • The Team Representative for each winning Team selected by the Judges will be notified by email. All Teams will be invited to attend the Grand Finale Event hosted by Deloitte Australia on the Grand Finale Event Date. If you or your Team are unable to attend the event, please notify Deloitte Australia as soon as possible.

  • Standout Submissions as determined by the Judging Panel will be announced at the Grand Finale Event and publicly identified on the Website and Challenge Platform following the announcement. The Judging Panel reserve the right to award multiple prizes or no prizes in any given category or for a particular Challenge.

 

4.    Judging Criteria

  • The panel of judges reviewing Submissions and Final Submissions will comprise of representatives from the Supporters (Judging Panel). The Judging Panel members are listed on the Challenge Platform. Deloitte Firms reserves the right to add or remove members of the Judging Panel.

  • Members of the Judging Panel will be required to declare any actual or perceived conflicts of interest with participants to allow Deloitte Firms to use reasonable endeavours to minimise the impact of any conflict of interest on the assessment of Submissions and Final Submissions and fairness for the GRAVITY Challenge.

  • The Judging Panel will evaluate and score each Submission and Final Submission based on criteria available on the Challenge Platform (Judging Criteria). Further information about the Judging Criteria are set out on the Challenge Platform.

5.    Disqualification

Deloitte Firms may disqualify your participation or your Team’s Submission and Final Submission if:

  • it becomes aware, or reasonably believes, that you or a member of your Team are: in breach of these Terms, acting maliciously, infringing any code of conduct or rules set out in the Challenge Platform, using improper material or otherwise violating any law, regulation or third party rights; or

  • you engage in any improper, offensive, fraudulent, defamatory or discriminatory behaviour towards any Supporters, your Team or other participants or any other party in connection with your participation in the GRAVITY Challenge.
